Please read this End-User License Agreement (“Agreement”) carefully before creating an account, clicking “I Agree,” downloading, installing, or using the TUDDEH mobile application, website, or related services (collectively, the “Services”) operated by TUDDEH Inc. (“TUDDEH,” “we,” “our,” or “us”).
By creating an account, clicking “I Agree,” downloading, installing, accessing, or using the Services, you agree to be legally bound by this Agreement, our Privacy Policy, and any additional terms that may apply to specific features. if you do not agree with these terms, do not access or use the Services.
Subject to your compliance with this Agreement, TUDDEH grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the Services for your personal, lawful, and non-commercial use.
This license does not transfer ownership of the Services or any intellectual property.
You represent that:
● You are at least the age of majority in your jurisdiction or otherwise have legal
authority to use the Services.
● Any information you provide is accurate and current.
● You will maintain the security of your account credentials.
● You are responsible for all activity that occurs under your account.
You agree not to:
● Violate any applicable laws or regulations.
● Use the Services for fraudulent or misleading purposes.
● Reverse engineer, decompile, modify, or create derivative works of the Services.
● Circumvent security or authentication measures.
● Attempt to gain unauthorized access to TUDDEH systems.
● Use automated bots, scrapers, or similar technologies without our written permission.
● Interfere with the operation or security of the Services.
● Upload malicious code, viruses, or harmful software.
● Impersonate another person or business.
● Submit false offers, reviews, events, or business information.
● Use the Services to develop or support a competing platform.
TUDDEH provides a platform that helps users discover businesses, offers, events, and eGift Cards.
Unless expressly stated otherwise:
● TUDDEH is not the seller of products or services offered by participating businesses.
● Businesses are solely responsible for their own offers, pricing, availability, products, services, events, gift cards, and redemption policies.
● TUDDEH does not guarantee that any offer or event will remain available.
Any dispute regarding a business’s products or services should first be addressed directly with that business.
Offers, promotions, birthday rewards, eGift Cards, and events are subject to the terms established by the participating business.
Businesses may:
● Modify offers
● End promotions
● Cancel events
● Refuse redemption where permitted by law or where offer conditions have not been met
TUDDEH is not responsible for a business’s failure to honour an offer or event.
You may upload content including reviews, ratings, photos, comments, or other materials.
By submitting content, you grant TUDDEH a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, display, distribute, modify, adapt, and publish that content for operating, improving, and promoting the Services.
You represent that:
● You own or have permission to submit the content.
● The content does not violate any law or third-party rights.
● The content is truthful and not misleading.
TUDDEH may remove any content at its sole discretion.
Certain features may use artificial intelligence to generate recommendations, summaries, promotional content, captions, or other materials.
AI-generated content may contain inaccuracies and should not be relied upon as professional, legal, financial, or medical advice.
You remain responsible for verifying any information before relying on it.
The Services, including all software, designs, graphics, logos, trademarks, databases, content, and technology, are owned by or licensed to TUDDEH and are protected by applicable intellectual property laws.
Nothing in this Agreement transfers ownership of any intellectual property to you.
The Services may integrate with third-party providers, including mapping services, payment providers, reservation systems, analytics platforms, advertising partners, or social media platforms.
TUDDEH is not responsible for the availability, security, privacy practices, or performance of third-party services.
Your use of those services is governed by their own terms.
We may release updates, bug fixes, security patches, or new features at any time.
Updates may:
● Improve functionality
● Remove features
● Change the appearance of the Services
● Require installation before continued use
We are not obligated to provide ongoing maintenance or support.
We strive to provide reliable Services but cannot guarantee uninterrupted operation.
The Services may occasionally be unavailable due to maintenance, technical issues, internet outages, security incidents, or events beyond our reasonable control.
Your use of the Services is governed by our Privacy Policy.
By using the Services, you consent to the collection, use, and disclosure of your information as described in that policy.
We may suspend or terminate your access immediately if you:
● Violate this Agreement
● Engage in fraudulent activity
● Abuse the Services
● Violate applicable laws
● Harm other users or businesses
Upon termination:
● Your license immediately ends.
● You must stop using the Services.
● Certain provisions of this Agreement will continue to apply after termination
The Services are provided “AS IS” and “AS AVAILABLE.”
To the fullest extent permitted by law, TUDDEH disclaims all warranties, whether express, implied, or statutory, including warranties of:
● Merchantability
● Fitness for a particular purpose
● Non-infringement
● Availability
● Accuracy
● Reliability
● Security
We do not guarantee that:
● The Services will always be available.
● Errors will be corrected.
● Content will always be accurate.
● Businesses will honour promotions.
● Events will occur as advertised.
To the fullest extent permitted by law, TUDDEH, its directors, officers, employees, affiliates, and partners shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, goodwill, business opportunities,
or data.
Our total liability arising from the Services shall not exceed the greater of:
● the amount you paid to TUDDEH during the six (6) months preceding the claim; or
● CAD $100.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the above limitations apply only to the extent permitted by law.
You agree to defend, indemnify, and hold harmless TUDDEH, its affiliates, employees, officers, directors, licensors, and partners from any claims, liabilities, damages, losses, or expenses arising out of:
● Your use of the Services.
● Your submitted content.
● Your violation of this Agreement.
● Your violation of applicable laws or third-party rights.
You acknowledge that selecting “I Agree,” creating an account, or using the Services constitutes your electronic acceptance of this Agreement and has the same legal effect as a handwritten signature where permitted by applicable law.
We may update this Agreement from time to time.
If changes are material, we will provide reasonable notice through the Services or by other appropriate means.
Your continued use of the Services after the effective date of the updated Agreement constitutes acceptance of the revised terms.
This Agreement shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Any legal proceeding arising from this Agreement shall be brought exclusively before the courts located in Alberta, Canada.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by TUDDEH to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other rights.
This Agreement, together with the Privacy Policy and any additional terms applicable to specific features of the Services, constitutes the complete agreement between you and TUDDEH regarding your use of the Services.
