TUDDEH Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the TUDDEH website located at www.tuddeh.com, the TUDDEH mobile application, and all related products and services (collectively, the “Services”) operated by TUDDEH Inc. (“TUDDEH,” “we,” “our,” or “us”).

By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms, our Privacy Policy, and any additional terms that apply to specific features or services.

If you do not agree to these Terms, you must not access or use the Services.

1. About TUDDEH

TUDDEH is a business discovery and marketing platform that helps users discover restaurants, cafés, bars, entertainment venues, events, exclusive offers, birthday rewards, eGift Cards, and other local experiences.

The Services allow users to:

● Discover businesses
● Browse promotions and events
● Redeem participating offers
● Purchase eligible eGift Cards where available
● Save favourite businesses
● Receive notifications
● Interact with participating businesses

Businesses may use the Services to create listings, promote offers and events, engage with
customers, and access marketing tools.

2. Eligibility

You may use the Services only if:

● You are at least the age of majority in your jurisdiction, or you have permission from a
parent or legal guardian where permitted by law.
● You have the legal capacity to enter into these Terms.
● You comply with all applicable laws.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

● Provide accurate information.
● Keep your information current.
● Notify us of unauthorized access.
● Accept responsibility for all activity under your account.

You may not:

● Create accounts using false information.
● Impersonate another person or business.
● Share your account with others.
● Use automated methods to create accounts.

We may suspend or terminate accounts that violate these Terms.

4. Marketplace

TUDDEH is a platform connecting users with participating businesses.

Unless expressly stated otherwise:

● TUDDEH is not the seller of food, beverages, tickets, merchandise, or services offered by businesses.
● Participating businesses are solely responsible for their products, pricing, promotions, availability, redemption rules, customer service, and legal compliance.
● TUDDEH does not guarantee the availability or quality of any product, service, event, or offer.

Disputes regarding products or services should first be addressed directly with the participating business.

5. Offers, Events & eGift Cards

Businesses are responsible for establishing the terms of their:

● Promotions
● Exclusive offers
● Birthday rewards
● eGift Cards
● Events

Businesses may modify or discontinue promotions where permitted by law.

TUDDEH does not guarantee that offers or events will remain available or be honoured in every circumstance.

6. Purchases

Certain features may require payment, including:

● Premium subscriptions
● Promotional services
● Sponsored advertising
● eGift Cards
● Other paid features

By submitting payment information, you represent that:

● You are authorized to use the payment method.
● The information provided is accurate.
● You authorize the applicable charges.

All purchases are subject to any refund policies that apply to the specific product or service

7. User Content

You may submit reviews, ratings, comments, photos, videos, and other content.

You remain the owner of your content.

By submitting content, you grant TUDDEH a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, distribute, publish, and promote that content in connection with operating, improving, and marketing the Services.

You represent that:

● You own or have permission to submit the content.
● The content is accurate.
● The content does not violate the rights of others.

We may remove content at our sole discretion.

8. Acceptable Conduct

You agree not to:

● Violate applicable laws.
● Submit fraudulent or misleading information.
● Harass, threaten, or abuse others.
● Post unlawful, defamatory, or infringing content.
● Upload malware or harmful software.
● Attempt unauthorized access to our systems.
● Use bots, scrapers, or automated tools without written permission.
● Interfere with the operation or security of the Services.

9. AI-Assisted Features

Certain Services may include AI-assisted recommendations, summaries, promotional content, or other automated features.

AI-generated information may contain errors and should not be considered professional advice.

Users remain responsible for verifying important information before relying on it.

10. Intellectual Property

The Services, including software, graphics, designs, trademarks, logos, databases, text, and other original content, are owned by or licensed to TUDDEH.

Nothing in these Terms transfers ownership of our intellectual property.

You may not copy, modify, distribute, or create derivative works without our prior written permission except as expressly permitted by law.

11. Third-Party Services

The Services may integrate with third-party providers, including:

● Mapping services
● Reservation platforms
● Payment processors
● Analytics providers
● Social media platforms
● Advertising partners

Your use of third-party services is governed by their own terms and privacy policies.

TUDDEH is not responsible for third-party services.

12. Availability

We strive to keep the Services available but cannot guarantee uninterrupted operation.

The Services may occasionally be unavailable due to:


● Maintenance
● Security incidents
● Technical issues
● Internet outages
● Circumstances beyond our reasonable control

13. Suspension & Termination

We may suspend or terminate access to the Services if you:

● Violate these Terms.
● Engage in fraud.
● Misuse the platform.
● Violate applicable laws.
● Harm other users or businesses.

Upon termination, your right to use the Services immediately ends.

Certain provisions of these Terms will survive termination.

14. Disclaimer

The Services are provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, TUDDEH disclaims all warranties, including warranties of:

● Merchantability
● Fitness for a particular purpose
● Non-infringement
● Availability
● Accuracy
● Reliability

We do not guarantee:

● Continuous availability of the Services.
● Error-free operation.
● Accuracy of user or business content.
● That businesses will honour promotions or events.
● That use of the Services will achieve any particular outcome.

15. Limitation of Liability

To the fullest extent permitted by law, TUDDEH, its affiliates, officers, directors, employees, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data.

Our total liability arising out of or relating to the Services shall not exceed the greater of:


● the amount you paid directly to TUDDEH during the six (6) months preceding the
claim; or
● CAD $100.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, liability is limited only to the maximum extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless TUDDEH, its affiliates, officers, directors, employees, contractors, licensors, and partners from any claims, damages, losses, liabilities, costs, or expenses arising from:

● Your use of the Services.
● Your submitted content.
● Your violation of these Terms.
● Your violation of applicable laws or third-party rights.

17. Privacy

Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, store, and disclose your information.

18. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will provide reasonable notice through the Services or by other appropriate means.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

19. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Any legal proceeding arising from these Terms or the Services shall be brought exclusively before the courts located in Alberta, Canada.

20. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.

22. Entire Agreement

These Terms, together with the Privacy Policy, End-User License Agreement (EULA), Business Terms of Service (where applicable), and any additional feature-specific terms, constitute the entire agreement between you and TUDDEH regarding your use of the Services.
